Terms and conditions

Exhibition
This contract between CPS Média inc., hereafter called 'CPS', and 'THE EXHIBITOR’ irrevocable and not transferable. The terms and conditions stipulated in this contract are an integral part of the contract.

Eligibility
CPS and the CNESST, hereafter called ’THE MANAGEMENT', have the right to refuse any space booking

EXHIBITOR responsibilities
THE EXHIBITOR agrees to abide by exhibition rules and regulations of Le Grand Rendez-vous de la CNESST, hereafter called the 'THE EVENT'.

THE EXHIBITOR must keep control and custody of all its material.

Contract terms
THE EXHIBITOR understands that its participation to this EVENT does not constitute an acknowledgment of its services or products by the CNESST.

THE EXHIBITOR agrees to abide by all terms set forth in the Exhibitor Manual, and all other conditions required by CPS in renting space for THE EVENT.

THE EXHIBITOR is also responsible for making these conditions known to his employees, suppliers, agents, including any temporary staff involved in the exhibition’s activities, and also accepts that his employees, suppliers and agents will comply with these conditions.

THE MANAGEMENT reserves the right, even if a request for space allocation has been approved, to limit its use or cancel a reservation in the event of a situation deemed undesirable or unacceptable.

THE MANAGEMENT reserves the right to deny entrance to any person, with valid reason. THE MANAGEMENT also reserves the right to expel any and all persons whose actions would justify such measure, as judged by said committee.

Space assignment
CPS will assign exhibit space, while respecting, if possible, THE EXHIBITOR’S preferences and priorities regarding booth locations. THE EXHIBITOR may indicate his top first three choices for booth location. However, CPS reserves the right to make reasonable changes regarding booth location. In case of relocation of the booth described herein, THE EXHIBITOR agrees that he has no right to cancel its participation in THE EVENT or claim damages from THE MANAGEMENT.

Space dimensions
Each booth space is 10 feet (wide) by 10 feet (deep).

Cancellation policy for reserved exhibit space
All cancellations must be submitted in writing. For any cancellation made more than 90 days prior to THE EVENT, only 50% of the total payment will be reimbursed. No refund will be made for cancellations made less than 90 days prior to the exhibition.

Insurance and compensation
THE EXHIBITOR must subscribe to an insurance against fire, theft and other losses. THE MANAGEMENT will not be held liable for any losses incurred, whatever the cause. THE EXHIBITOR must obtain a general commercial liability insurance certificate from their insurer for the confirmed dates of the exhibition with a minimum of $2,000,000 extended liability insurance to include: bodily injury, property damage, personal injury, contractual liability, non-owned auto coverage, products and completed operations coverage, cross-liability coverage and a severability of interest clause; tenant liability coverage of $100,000 damage to landlord’s property. THE EXHIBITOR must have a copy of their insurance policy and be able to present it on demand.

THE MANAGEMENT will not be held liable for any act or thing done or omitted by THE EXHIBITOR and where appropriate their business associates, directors, officers, employees, agents and representatives. THE EXHIBITOR and his representatives agree to indemnify and hold harmless from any and all responsibilities THE MANAGEMENT, their suppliers, employees, representatives and their agents for any claim of loss, damage, theft, damage or destruction to property, including financial or commercial loss.

Occupancy default
It is agreed by THE EXHIBITOR that failure to install his booth in his allocated space in time for booth opening, or failure to comply with any other provisions regarding use of exhibition space, THE MANAGEMENT has the right to repossess said exhibition space and THE EXHIBITOR will be liable for the full rental price of said space.

Compensation
THE EXHIBITOR agrees to hold THE MANAGEMENT free and harmless from any obligation in respect to damages, claims, judgments and legal fees arising out of any damage or loss of property, injury or death relating to the use of the rented space.

Subletting of a space
The subletting of a space is not permitted in the exhibit area. Two or more companies cannot occupy a single space without prior written agreement approved by THE MANAGEMENT before THE EVENT.

Suppliers
A complete list of EVENT suppliers will be available in the Exhibitor Manual.

Installation/dismantling of exhibit booths
THE EXHIBITOR must respect the times and dates for the exhibit installation and dismantling as specified in the Exhibitor Manual from CPS, which will be available at least two months prior to THE EVENT. THE EXHIBITOR will be responsible for all storage and costs arising from the failure to remove materials from the exhibition floor at the time specified by CPS.

General booth display
Every EXHIBITOR must use a rug or a floor covering of good quality.

Every EXHIBITOR that only uses banner stands must have a rigid back wall with the following dimensions: 8’ tall and 10’ wide. Curtain dividers are prohibited.

Exposed parts of the booth must be draped or finished so that the decor is attractive when seen from the aisles or adjacent booths.

THE EXHIBITOR is responsible for any damage to the building or property of other persons.

Storing boxes or packing containers in the booth during the exhibition is prohibited. Storage arrangements can be made for boxes and packing containers, but the content must be clearly identified.

Health and safety compliance
THE EXHIBITOR assumes full responsibility for compliance to all fire, health, safety and environmental codes, ordinances and regulations as well as the rules and regulations from the THE EVENT location.

Exhibition cancellation
THE MANAGEMENT reserves the right, in its sole discretion, to change THE EVENT dates and will not be held responsible for any damages or any inconvenience as a result of this change. In addition, THE MANAGEMENT will not be liable for any damages or inconvenience for default of the terms of this contract in whole or in part when caused directly or indirectly by an Act of God or circumstances beyond their control.

THE EXHIBITOR and THE MANAGEMENT will have no further obligations towards each other and, where appropriate, THE MANAGEMENT will determine a fair basis for repayment of a portion of the fees after due consideration of expenses and commitments already made.

Responsibility of CPS
Any civil or contractual responsibilities of CPS, and its contractors to THE EXHIBITOR are limited to the amount paid by THE EXHIBITOR to CPS under this contract. The existence of more than one claim, demand or recourse under this contract cannot extend beyond the total cumulative limitation of liability. This clause shall survive the termination of this agreement.

Despite the availability of French and English versions of this contract, if there is a discrepancy between those versions the French version will be valid and shall prevail.

The provisions of this contract are subject to and shall be interpreted in accordance with the laws of the Province of Québec. In case of a dispute which cannot be resolved by negotiation or a mutual agreement, CPS and THE EXHIBITOR agree to bring any lawsuit in the courts of the province of Québec.

This contract constitutes the full agreement between the parties regarding its subject matter and supersedes all agreements, conventions, call for proposals, propositions, offers, discussions, and previous negotiations, oral or written, between the parties. No other agreement, obligation, guarantee or clause, other than those expressed herein, will apply between the parties regarding the subject of this contract.

Payment policy
CPS Média inc. is mandated by CNESST for the sales of booth spaces.

Payment is not required with the signed contract. An invoice, with taxes, will be sent to THE EXHIBITOR at a later time.

CPS will be issuing the invoice. The payment should be made in Canadian dollars, to CPS Média inc.
Exhibition
